About the Role
Our client, a rapidly expanding e-commerce platform, is seeking a talented and adaptable Remote Corporate & Commercial Lawyer to join their dynamic, geographically dispersed legal team. This position is ideal for a legal professional looking for a fully remote role, operating from anywhere in
South Africa , with a primary focus on supporting the company's commercial operations and corporate governance needs. You will be responsible for drafting and negotiating a variety of commercial contracts, advising on corporate structuring, and ensuring compliance with relevant business laws. This role requires a proactive individual who thrives in a fast-paced, remote environment and can provide practical, commercially-sound legal solutions. Key Responsibilities
Draft, review, and negotiate a broad range of commercial agreements, including supplier agreements, partnership agreements, terms of service, and marketing agreements.
Advise on corporate governance matters, board resolutions, and shareholder agreements.
Conduct legal research and provide strategic advice on various corporate and commercial law issues.
Ensure compliance with South African company law, consumer protection legislation, and other relevant business regulations.
Support business development initiatives by providing legal input and risk assessment.
Manage contract lifecycle and maintain an organized contract management system.
Assist in managing legal aspects of corporate restructuring, mergers, and acquisitions as needed.
Collaborate effectively with internal teams, including sales, marketing, operations, and finance, in a remote setting.
Respond to legal inquiries from various departments within the organization.
Stay updated on legal developments impacting the e-commerce and digital industries.
Requirements
Admitted Attorney of the High Court of South Africa with a minimum of 6 years of post-qualification experience.
Strong background in corporate law and commercial contract drafting and negotiation.
Proven ability to work independently and manage a substantial workload in a remote environment.
Excellent analytical, problem-solving, and communication skills.
Familiarity with e-commerce business models and related legal challenges is highly desirable.
Proficiency in legal research tools and standard office productivity software.
Detail-oriented with a commitment to accuracy and efficiency.
Ability to build strong working relationships remotely with diverse teams.
Discretion and ability to handle confidential information effectively.
