The Opportunity
A leading industrial technology and manufacturing organisation is looking for an experienced Legal Counsel to join its team on an initial 6-month contract, with the potential to transition into a permanent position. This is a hands‑on opportunity to support an active M&A transaction, working closely with senior internal stakeholders, external legal counsel and other advisors.
Key Responsibilities
* Provide legal support throughout an active M&A transaction
* Draft, review and negotiate M&A agreements and related commercial contracts
* Support legal due diligence and identify key legal and commercial risks
* Review and negotiate transaction documentation
* Work closely with senior business and finance stakeholders
* Liaise with external legal counsel and transaction advisors* Provide practical, commercially focused legal advice throughout the transaction
* Support the business through the negotiation and execution of transaction documentation
* Assist with broader corporate and commercial legal matters where required
Experience Required
* Bachelor of Law degree
* Qualified lawyer with eligibility to practise in Ontario
* 4+ years of relevant legal experience
* Strong experience in M&A and transactional contracts
* Proven experience supporting M&A transactions and legal due diligence
* Strong contract drafting and negotiation skills
* Commercially minded, with the ability to provide practical business-focused legal advice
* Comfortable working with senior stakeholders and external advisors
* Able to work effectively in a fast-paced, transaction-focused environment
